These general terms and conditions of sale (hereinafter the "Terms") represent the sole basis of the commercial relationship between the Parties. They aim to define the conditions under which CLIP2EARN, simplified joint stock company with a capital of €100, registered under number 942552274, having its registered office at 60 RUE FRANCOIS IER, PARIS, 75008, France, (hereinafter "Clip2Earn") provides the client (hereinafter the "Client") with the services as described in article 3 below (hereinafter the "Services").

2. Scope of Application

The Terms aim to inform the Client of the terms of online ordering and delivery of ordered Services.

The Terms apply, without restriction or reservation, to all Services offered to Clients by Clip2Earn on the Website, regardless of any clauses that may appear in any other document.

Any order for Services implies, on the part of the Client, full adherence and unreserved acceptance of these Terms.

The Terms are made available to Clients on the Website where they can be directly consulted and can also be communicated to them upon simple request by any means.

3. Services Description

Clip2Earn offers for sale:

Content monetization and exclusive content
Clip2Earn notably offers subscription formulas whose execution methods and characteristics are described on the Website.

The essential characteristics of each Service are described on the Website and updated by Clip2Earn. The technical sheet of a Service may include descriptions, photographs, and graphics that are only provided as suggestions and may be modified/updated on the Website by Clip2Earn.

Using the Website requires a device with internet access. This device and this connection are not provided by Clip2Earn, and all costs incurred by the Client to access the Website are the exclusive responsibility of the Client.

The Website is accessible anywhere and at any time, except for Website maintenance operations performed by Clip2Earn, and this access is only subject to an Internet connection. The Client is responsible for setting up the computer and telecommunication means allowing access to the Website.

It is expressly accepted by the Parties that in the event that the Website would be inaccessible for (i) maintenance operations performed by Clip2Earn or (ii) difficulties related to the Website host, Clip2Earn's liability cannot under any circumstances be engaged.

Access to the Website is free, however certain features of the Website are paid and reserved for Clients who have a subscription.

The Services offered are available for sale in the following territories: France, Tunisia

4. Customer Account

4.1 Account Creation

The Client can create a customer account (hereinafter the "Customer Account") prior to or simultaneously with the purchase of Services online on the Website. Creating a Customer Account is not mandatory to order a Service. The Customer Account is a personal space made available to the Client and protected by secure access.

Creating the Customer Account is free and in no way commits the Client to purchasing a Service.

The Customer Account is created by the Client by providing the information requested, including their email address and a password.

The identifier and password chosen by the Client when creating their account are their own, confidential and personal. The Client undertakes to keep their identifier and password secret and not to disclose them in any form whatsoever.

4.2 Customer Account Features

The Customer Account allows the Client to:

access their registered payment methods and modify them;
access information on orders placed and/or in progress;
access and modify their personal information;
contact Clip2Earn;
download and print their payment receipts and order details.

5. Service Order Terms

To order one or more Service(s), the Client must add said Services available on the Website to their virtual cart (hereinafter the "Cart"). If they have not previously created it, the Client can create their Customer Account under the conditions defined in article 4 above.

It is possible to place a Service order(s) without creating a Customer Account. In this case, the Client must then provide the following information:

Last name(s) and first name(s);
Email address;
Delivery address;
Billing address;
Payment information, as specified in article 7.2 below.

The Client must, in any case, verify the Service(s) in their Cart. In case of error on the Service(s), the Client has the possibility to modify the Cart and return to the previous pages of the Website to modify their order.

The Client's order becomes firm and irrevocable by clicking on the "Pay now" button or any other similar button. From this moment, the Client can no longer modify their order and/or the information provided.

6. Financial Conditions

6.1 Pricing

The prices indicated are firm and non-revisable during their validity period, the Parties expressly waiving to claim the provisions of article 1195 of the Civil Code.

Depending on the country from which the Client accesses the Website, the prices displayed on the Website are expressed in the currency of said country, all taxes included.

All transport, delivery, order processing fees (postage, packaging, parcel preparation, optional services subscribed by the Client) and other fees, interests and commissions are indicated in the order summary and are established according to the location and delivery method selected by the Client and are the exclusive responsibility of the Client.

6.2 Payment Terms

The order is payable immediately by credit card, online only.

The Client guarantees to be the holder of the payment card used to pay for the order, and that the last and first names appearing on the payment card are indeed theirs.

In case of payment by credit card, the Client will be asked to provide the payment card number, its expiration date and the visual cryptogram of the payment card used.

In the event that, for any reason whatsoever, the debit of the sums due by the Client for their order is impossible, the order will be immediately canceled and Clip2Earn's liability cannot under any circumstances be engaged.

7. Right of Withdrawal

In accordance with the provisions of article L.121-21 of the French Consumer Code, the Client has a period of fourteen (14) days to exercise their right of withdrawal from a distance contract, without fees and without having to justify particular reasons.

The Client exercises their right of withdrawal before the expiration of the aforementioned withdrawal period, without having to justify their decision, or bear costs by contacting Clip2Earn via the "Contact" tab of the Website.

The Client must, in their request, indicate the order number and the reference of the Services for which they wish to exercise their right of withdrawal, the reference to this article, their identity and their contact details (name, first name, phone number, postal and/or electronic address).

Once the Services are returned, Clip2Earn will proceed to refund said Services within fourteen (14) working days from receipt of the Services, using the same payment method as that used by the Client at the time of their order, unless otherwise agreed by the latter.

8. Legal Guarantees

8.1 Principle

The implementation of legal guarantees by the Client not having the quality of professional with Clip2Earn does not cause any costs for the Client. The Client who wishes a refund under the conditions defined below, will be refunded by Clip2Earn within fourteen (14) working days from the return of the non-compliant Product.

8.2 Hidden Defects Guarantee

In accordance with the provisions of articles 1641 and following of the French Civil Code, the implementation of the hidden defects guarantee only covers hidden defects of the Service purchased by the Client, which would prevent its normal use or affect it to such an extent that the Client would not have purchased it.

The Client may not claim the benefit of the hidden defects guarantee for apparent defects that they could have noted at the time of purchasing the Service.

The Client has a period of two (2) years from the discovery of the hidden defect to take action against Clip2Earn.

8.3 Legal Guarantee of Conformity

The conditions of the legal guarantee of conformity are provided in the appendix hereto.

9. Intellectual Property

The Services are protected by intellectual property rights.

The provision of the Website does not entail assignment of the intellectual property rights of the Website and any of its elements, nor of the associated documentation, which remain the exclusive property of Clip2Earn.

The entire Website, including its tree structure, graphics, structure, object or source codes as well as the content (including texts, videos, graphic images, photographs, logos, icon-buttons, software, audio files and others, databases) is the property of Clip2Earn, or their respective owners and is protected by intellectual property, particularly by copyright and trademark law.

The Website cannot be used for commercial purposes, except with express written and prior authorization from Clip2Earn. Unauthorized framing or creation of links to one of the services is prohibited.

Subject to compliance with these terms, Clip2Earn authorizes the Client to access and use the Website exclusively for personal purposes. The license thus granted to the Client is strictly personal, non-exclusive, limited and revocable in case of non-compliance with these terms.

10. Clip2Earn's Liability

It is up to the Client to prove any possible non-compliance, as provided for in article 12.3 above.

Clip2Earn cannot be held liable in case of non-compliance with legislation external to the territory indicated herein where the Services would be used.

Clip2Earn reserves the right to modify the information contained on the Website at any time and without notice. Clip2Earn undertakes to describe in the most complete and precise manner the Services sold on the Website and to ensure under the best possible conditions the updating of this information. However, Clip2Earn cannot guarantee the accuracy and completeness of this information.

Clip2Earn guarantees to the Client that the Services offered for sale on the Website do not violate to its knowledge any intellectual property rights of third parties. In all cases, it will be up to the Client to notify Clip2Earn, as soon as possible, of any action and/or any formal notice that they will have received as a result of using the Services.

Subject to the application of provisions of public order preventing any limitation of the Company's liability, if the Company's liability were to be engaged, it would be limited under the conditions defined below: Clip2Earn's liability can only be engaged in case of proven fault or negligence and is limited to direct damages, to the exclusion of any indirect damage, of any nature whatsoever.

11. Customer Commitments

The Client wishing to fully benefit from the Website and proceed with the purchase of Services must have full capacity.
The Client undertakes to use the Services in accordance with current regulations and not to make inappropriate use contrary to good morals.
The Client undertakes to pay the price under the conditions provided by these Terms.
The Client undertakes to return the Services in new condition, unused, intact and carefully reconditioned.
The Client also undertakes to find a solution allowing them to fulfill their obligations despite the force majeure case as defined in article 15 above.
The Client declares to be the legal owner or holder of intellectual property rights concerning all content provided and/or published on the Website.
The Client undertakes that the content published by them on the Website is lawful, does not infringe good morals, public order and the rights of third parties, does not violate any legislative or regulatory provision and more generally, is in no way likely to implement the civil or criminal liability of Clip2Earn; Clip2Earn will always have the possibility to turn against the Client and obtain full reparation for the damage that Clip2Earn could have suffered.

12. Contract Termination

12.1 Complaints

The Client can address their complaints by registered letter with acknowledgment of receipt to the following address: 60 RUE FRANCOIS IER, PARIS, 75008, France; or by email to the contact email address appearing on the Website.

12.2 Termination by Customer

The Client can terminate their Customer Account or their subscription(s) (if applicable) at any time, by accessing the settings of their Customer Account on the Website, respecting a notice period of at least forty-eight (48) hours before the end of the current period. The termination will be effective at the end of the current period.

12.3 Termination by Clip2Earn

Clip2Earn reserves the right to sanction any malicious behavior contrary to the commitments made by the Client under the terms of these by canceling their order and deleting their Customer Account. Clip2Earn reserves the right to suspend or terminate a Client's account in case of fraud, breach of an obligation resulting from these, including without the list being exhaustive, the default of possibility to deduct the amount of the subscription selected at the agreed deadline, unauthorized copying or downloading of audio or video content or any violation of the limited use license granted within the framework of their access to the Services, or unauthorized sharing of the Client's account.

13. Applicable Law and Disputes

In accordance with the provisions of the Consumer Code concerning the amicable settlement of disputes, Clip2Earn adheres to the e-commerce Mediator Service competent in its sector of activity, it being specified that the list of consumer mediation referees appears at the following link: Consumer mediators | economie.gouv.fr

Online Dispute Resolution Platform: in accordance with article 14 of Regulation (EU) No. 524/2013, the European Commission has set up an Online Dispute Resolution platform, facilitating independent extrajudicial resolution of online disputes between consumers and professionals of the European Union. This platform is accessible at the following link: https://webgate.ec.europa.eu/odr/.

By express agreement between the Parties, these Terms and the Service purchase operations that result from them are governed by French law. They are written in French.

In the case where they would be translated into one or more languages, only the French text will prevail in case of dispute and any translation will refer to the original version in French.
